Client Service Agreement

STAGING DRAFT FOR LEGAL REVIEW. Not approved for production use or as final operative terms. Effective 17 July 2026. This reference agreement accompanies an accepted Wattlewire proposal or statement of work.

STAGING DRAFT: This page requires legal review before production use and is not final operative terms. Wattlewire is the trading name of Joseph Driver, ABN 47 319 253 657. The accepted proposal, statement of work, or invoice forms part of this agreement. If those documents conflict, the project-specific document takes priority.

Scope and client inputs

Wattlewire will provide the services and deliverables described in the accepted project documents. New pages, functionality, integrations, redesigns, or material changes are discussed and agreed before work begins.

The client provides accurate information, approved content, required access, assets, instructions, and timely feedback. If information or approvals take longer than expected, the project schedule can be adjusted together.

Fees and payment

For standard custom projects, a 50% deposit is payable to book the work. The remaining 50% is due before launch, handover, or transfer of final deliverables. Invoices are due within 14 days of issue unless otherwise agreed in writing.

Hosting and care services are billed in advance and are due within 14 days of invoice. Wattlewire may pause a service after reasonable notice if payment remains outstanding.

Review and delivery

Standard website projects include up to two rounds of revisions within the agreed scope. Wattlewire will make reasonable efforts to deliver according to the agreed approach and timing, with delivery shaped by client inputs, approvals, project complexity, and third-party services.

A deliverable is accepted when the client approves it, uses it in production, allows it to go live, or does not raise material issues within a reasonable review period. Further changes after acceptance can be scoped separately.

Ownership and third parties

The client retains ownership of materials it supplies. After full payment, the client receives a perpetual licence to use final bespoke deliverables for its business. Wattlewire retains ownership of its CMS platform, pre-existing code, reusable components, frameworks, deployment systems, methods, and internal tools.

Third-party services, integrations, domains, email, analytics, payments, and software remain subject to their own terms, pricing, availability, and support arrangements. Client-requested third parties are outside Wattlewire's reasonable control.

Hosting, cancellation, and liability

Hosting and care services may be cancelled with 30 days' written notice. Fees remain payable through the notice period. Handover, migration, account transfer, or work outside the plan can be scoped where needed.

DRAFT PROPOSED POSITION FOR LEGAL REVIEW ONLY: The following liability-cap language is proposed and is not final operative terms. Nothing in this agreement excludes rights that cannot be excluded under the Australian Consumer Law. Subject to legal review and to the extent permitted by law, Wattlewire's proposed liability cap is fees paid for the affected service in the 12 months before a claim, or the total fees paid for a one-off project. The proposed position also states that Wattlewire would not be liable for indirect or consequential loss, lost revenue, lost data, or business interruption.

This agreement is governed by the laws of Queensland, Australia. The client should obtain independent legal advice before accepting project terms.
